COMMERCIAL OFFER, with which I would like TO TRANSFER THE EXCLUSIVE LICENSE
ON ALL EUROPE, OF MY PENDING PATENT SPALIC, METHOD FOR PRODUCING ZERO-AIR,
only for : the COMMERCIAL SECTOR OF THE SANITARY UTILIZATIONS, WHERE NEEDS
HIGH AIR PURIFICATION AND ALSO WITH AIR CONDITIONING CONNECTION.
The OFFERING :
I'm the undersigned Romano De Simone, born in Rome the 03-February-1946,
resident in 00043 ITALY at CIAMPINO (Rome) in Viale J. F. Kennedy 127 C.F.
DSM RMN 46B03 H501D.
With this document I offering to any person, who will be holder of this
document, the rights of acquisition only for itself, on the exclusive
license of my pending patent SPALIC.
This license is limited to the applicatory sector, which is above writed,
without any other. This license is extended on all Europe.
SPALIC is an European pending patent of method for producing zero-air,
processing smoke or however polluted air.
SPALIC is distinguished with the application n. 95 934 826.9-1251 ref. 2108
EP.
I underline that SPALIC method machines release a free gaseous stream, which
contains only all diatomic molecules, that constitute the air, but even the
pollutant diatomic molecules, as for example CO and NO, and others.
I underline that are inclusive in the present offer, even the connected
rights, about my future patents, which will be related to SPALIC, limitedly
to the above-mentioned applicatory sector, and with the same commercial
conditions, that they will stretch to the new technological products.
CONDITIONS FOR transfer of the exclusive license of patent's rights about
SPALIC METHOD and RESERVES:
1) I will can refusing the transfer of that license in offer, to my
discretion, without any obstacle to my decision.
2) Center of the future contract: FIRENZE (or other towns, in Italy).
3) Deadline of validity for the present offer : 31 December 2004. Past this
date will be useless the present offer.
4.1) Normal price of transfer this licence : 6,00 % (six for one hundred) of
the selling price on the market of objects, and the travelling and notarial
expenses.
I want the anticipation of the travelling expenses and notarial for the
contract and to maintaining in life the brevets, and the payment of my
performances as engineer, to apply the method.
4.2) The price of transfer will be only of 3,00 % (three for one hundred) of
the selling price on the market, and the travelling and notarial expenses,
only for the friends and supporters of John Kerry for President of USA.
I need a declaration of John Forbes Kerry, in this case.
In this case also I want the anticipation of the travelling expenses and
notarial for the contract and to maintaining in life the brevets, and the
payment of my performances as engineer, to apply the method.
5) Past the acceptance and the relative agreement, within the 31- December -
2004, the license will be valid for ever, untill the rights patent
expiration, but it will lapse if will be not built a plant for apply SPALIC,
within eighteen months since the start of agreement.
The license will lapse also, if will stop any construction and selling of
plant or machine during three months, for the selling in Europe.
6) Other possible conditions, will establish after the first contacts,
before the transfer of the exclusive license.
7) I reserve to me in any case, the right for working as engineer in one of
the constructions for the applications of my SPALIC technology, also working
by myself in the present sector, to my discretion, even in case of signature
of the transfer of license.
